Terms of Service

These Terms of Service ("Terms") describe the conditions under which DevNova provides design, development and related services. By working with us or accepting a proposal, you agree to these Terms.

1. Parties and scope

These Terms apply between DevNova – Tair Khamitov, based in Slovakia, and the client ("you"), for web development, e-commerce, automation and related services described in proposals, offers or project scopes.

2. Proposals, scope and deliverables

Before starting a project we usually provide a written proposal or scope description. This document defines:

  • Key goals and outcomes of the project.
  • Main features, pages and integrations in scope.
  • Estimated timelines and milestones.
  • Pricing model and payment schedule.

Any work not explicitly listed in the agreed scope may be treated as a separate mini-project or change request and quoted separately.

3. Your responsibilities

To deliver a smooth project, you agree to:

  • Provide accurate information about your business and requirements.
  • Share necessary content, brand assets and access credentials in time.
  • Review and approve deliverables within reasonable timeframes.
  • Ensure that all content you provide complies with applicable laws.

4. Pricing, invoices and payments

Project pricing and payment terms are described in the proposal or agreement. Common structures include:

  • Fixed price with milestones.
  • Time-based billing for ongoing work or support.
  • Retainers or care plans with a monthly fee.

Invoices are typically due within the payment term stated on the invoice. Late payments may delay work or temporarily suspend services until the outstanding amount is settled.

5. Revisions and changes

Each project includes a reasonable number of revisions as described in the proposal. Revisions cover adjustments within the agreed direction. Larger changes in strategy, design or scope may be treated as additional work and quoted separately.

6. Intellectual property and licenses

Unless agreed otherwise in writing, after full payment you receive a license to use the final deliverables (such as website design, frontend code or content) for your business needs.

We may use certain third-party tools, libraries or assets that are governed by their own licenses. Where relevant, we'll inform you about any important limitations.

7. Hosting and third-party services

We can recommend or help set up hosting, email, analytics or other external services, but we do not operate these infrastructures ourselves. Their uptime and terms are governed by the respective providers. You remain responsible for any recurring subscription fees charged by such providers.

8. Warranties and limitations of liability

We deliver our work with professional care and reasonable skill, but we cannot guarantee that any website or system will be completely error-free or available 100% of the time.

To the maximum extent permitted by law, our liability for any claim related to the project is limited to the total amount paid by you for the specific project or service that gave rise to the claim.

9. Termination of cooperation

Either party may request to pause or stop the project. In such cases:

  • You pay for work already completed and any committed, non-refundable external costs.
  • We provide deliverables completed up to that point, in a reasonable format.

10. Confidentiality

We treat non-public information about your business and projects as confidential and do not share it with third parties, except where needed to deliver the project under similar confidentiality or where required by law.

11. Portfolio and case studies

We may showcase completed work in our portfolio, case studies or marketing materials, unless you explicitly ask us not to do so or where contractual or legal restrictions apply.

12. Governing law and disputes

These Terms are governed by the laws of the Slovak Republic and, where applicable, EU law. Any disputes will be handled in a reasonable, negotiation-first manner. If a formal resolution is needed, the competent courts in Slovakia may have jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. The version published on this page at the time of your project or order will apply to that specific cooperation, unless otherwise agreed in writing.
